Charles J. Spiess is a partner in the firm's Corporate Department.  Charles is experienced in mergers and acquisitions, venture capital financing, securities transactions, licensing arrangements and general corporate matters.  Charles advises a broad range of clients, including early stage companies, publicly held middle-market companies and private equity investors.  Charles regularly serves as outside general counsel for privately held companies at various stages of development.

Charles also has extensive expertise in substantially all aspects of commercial real estate and real estate finance and over time has represented parties in a wide array of transactions. Among his clients are:

    • Joint Ventures. Developers and investors in joint venture transactions to develop, redevelop, operate and/or finance office, hotel and other commercial properties.
    • Commercial Mortgage and Real-Estate Company Financings and Workouts. Borrowers, lenders and investors in the origination, modification, enforcement and workout of securitized and conventional commercial mortgage loans, revolving credit facilities, mezzanine loans and preferred equity.
    • Distressed Situations. Purchasers and sellers of distressed properties and debt instruments.

Among Charles’ noteworthy transactions are:

    • Acquisition and financing of Blue Back Square in West Hartford, Connecticut consisting of 472,000 rsf of mixed use space on behalf of Starwood Retail Partners for $104.9MM
    • Acquisition and financing of 100 West Putnam Avenue in Greenwich, Connecticut consisting of 155,455 rsf commercial space on behalf of Antares Investment Partners for $160MM
    • Acquisition and financing of Marriott Courtyard in Stamford, Connecticut including entering into franchise agreement with Marriott International Inc.
    • Acquisition and financing of Streets of Chester Shopping Center in Chester, New Jersey consisting of 104,682 rsf of retail space on behalf of Core Plus Partners
    • Acquisition of mixed use properties in California and Washington for St. John’s College (University of Oxford)
    • Acquisition, financing and leasing of mixed use space throughout Fairfield County, Connecticut on behalf of Forstone Capital and ATCO Investment Management
    • Recapitalization of office, hotel and residential properties, together with the discounted purchase or workout of non- or sub-performing debt
    • Numerous commercial leasing matters throughout the U.S. for Diageo North America, Inc.
    • Construction financing for numerous New York metro area office and retail projects
    • Merger and sale of Amkai LLC with and into an affiliate of Surgical Information Systems

Before joining Diserio Martin O’Connor & Castiglioni LLP, Charles was an associate at a prominent New York law firm where he gained extensive experience advising U.S. public and private companies in a wide range of industries with regard to private equity financings, mergers and acquisitions, securities transactions and general corporate matters.

Charles received his J.D. from the Benjamin N. Cardozo School of Law where he was on the Cardozo Law Review.  He received his B.A. in both Economics and Political Science from the University of Rochester.

Charles is admitted to practice in Connecticut and New York.

Charles is active in various civic and community endeavors including Kids in Crisis, Stamford Young Artists Philharmonica, Greenwich Y.M.C.A., Greenwich Youth Lacrosse and Rocky Point Club.
